End User License Agreement (EULA)

We are Astras Novei LTD ("Company," "we," "us," "our"), a company registered at 14 Frishman, Tel Aviv Jaffa, Israel. This document represents the End User License Agreement between you and the company.

The provisions contained herein establish the conditions under which you may access and utilize the installation utility alongside its associated software modules that accompany the software application identified as DailyFile (collectively termed the "Installer" and/or the "Software"). Your act of downloading, installing, or otherwise engaging with the Installer signifies that you (designated as "User" or "you") confirm having carefully reviewed, comprehended, and consented to abide by the stipulations outlined in this Agreement, thereby creating a legally enforceable contract between yourself and the Company.

Ownership and Scope

The Company retains sole and exclusive proprietary rights over the Software, maintaining ownership or holding appropriate licenses for its use. The terms herein extend to encompass every aspect of the Software, spanning its various capabilities, integrated modules, constituent components, operational features, and any associated offerings, which include but are not limited to built-in search-related utilities.

Acceptance of Terms

Through your installation, access, or utilization of the Software, you thereby affirm your acknowledgment and acceptance of these stipulated Terms along with the corresponding Privacy Policy, and you commit to adherence with all relevant legal requirements and regulatory frameworks. Should any aspect of these Terms prove unacceptable to you, you are obligated to cease usage of the Software forthwith and remove it entirely from your computing device.

In order to facilitate appropriate operational capabilities, performance tracking, analytical evaluation, and security protocols, the Software may handle constrained technical and usage-oriented information essential for proper functioning and efficiency assessment. We strongly encourage you to examine the Privacy Policy thoroughly before proceeding with installation.

Software and Installer Services

Through commencement of the installation sequence, you grant permission to the Company for deploying the Software together with any requisite or auxiliary components necessary for its proper execution. Throughout the installation workflow, and contingent upon your explicit approval, the Software reserves the right to alter specific browser configurations, encompassing without limitation your preset search engine, homepage designation, or new tab interface, with the purpose of establishing connectivity to a search provider designated by the Company. By advancing through the installation process, you provide your express authorization for such modifications.

If you uninstall DailyFile, any previous browser settings will not be restored automatically and must be manually adjusted through your browser's settings.

Through continuation of the installation procedure, you additionally recognize and consent that DailyFile may become designated as your standard file conversion application and that the Software may incorporate search capabilities administered by external search service providers, all pursuant to these Terms.

License Grant and Restrictions

The Company hereby confers upon you a restricted, non-exclusive, revocable, and non-assignable license permitting installation and utilization of the Software exclusively for your individual, non-commercial purposes. Any rights not specifically conveyed through these Terms remain fully reserved by the Company and/or its respective licensors.

Third-Party Content

The Software may present, incorporate, or facilitate access to materials, promotional content, or external offerings originating from third parties. The Company exercises no authority over, provides no endorsement of, and accepts no accountability for any such external offerings. Any engagement with third-party materials occurs entirely at your personal risk and may fall under the jurisdiction of the respective third party's distinct terms and guidelines.

User Obligations

You hereby commit that you shall refrain from:

• Duplicating, reproducing, disseminating, marketing, sublicensing, or otherwise commercially exploiting the Software.
• Altering, decompiling, disassembling, or conducting reverse engineering on any portion of the Software.
• Bypassing security protocols or pursuing unauthorized entry into the Software or its associated systems.
• Deploying the Software for illegal, misleading, fraudulent, or detrimental objectives.
• Breaching these Terms in any fashion whatsoever.

Any violation of the aforementioned obligations may precipitate immediate suspension or revocation of your authorization to employ the Software and could subject you to potential legal consequences.

Intellectual Property

Complete intellectual property entitlements pertaining to the Software, encompassing trademarks, underlying code, visual designs, and proprietary components, constitute intellectual property belonging to the Company or its authorized licensors. No provision within these Terms bestows upon you any ownership stake or intellectual property rights concerning the Software.

Disclaimer of Warranties

The Software is furnished on an "as is" and "as available" foundation, devoid of guarantees of any nature, whether stated explicitly or understood implicitly. The Company makes no assurance regarding continuous operation, fault-free functionality, or compatibility across all computing environments.

You bear full responsibility for all risks emerging from the deployment and operation of the Software.

Limitation of Liability

To the fullest extent authorized by applicable law, the Company shall bear no responsibility for any indirect, incidental, or consequential harm stemming from or connected to your utilization of, or incapacity to utilize, the Software. Any potential liability of the Company shall not exceed the lesser amount between USD $10 or any sum you may have remitted, if applicable, for the Software.

Updates and Modifications

The Company retains the discretion to implement updates, corrections, remedies, or enhancements to the Software at its sole determination. Ongoing utilization of the Software subsequent to such implementations shall be interpreted as acceptance thereof. Transient service interruptions or alterations in operational capabilities may transpire as a consequence.

Termination

The provisions of these Terms persist until such time as termination occurs. You possess the authority to conclude this Agreement at any moment through complete removal of the Software and discontinuation of all use. The Company maintains the prerogative to suspend or terminate your access without delay should you contravene these Terms or if your persistent use creates jeopardy for the Company, its user community, or external parties.

Following termination, you must eliminate the Software entirely and all licenses previously granted to you shall immediately expire, with any ongoing use of the Software representing a violation of these Terms.

Indemnification

You consent to indemnify and safeguard the Company, its associated entities, collaborators, agents, and personnel from and against any assertions, damages, financial losses, or expenditures emerging from your improper use of the Software or your contravention of these Terms.

Changes to Terms

The Company reserves the right to amend these Terms periodically. Modified versions become operative upon their publication. Persistent use of the Software demonstrates acceptance of the amended Terms.

General Provisions

Should any clause of these Terms be deemed unenforceable, the residual provisions shall continue to maintain their complete force and validity. Abstaining from enforcing any provision shall not represent a waiver of rights. You are prohibited from transferring these Terms absent the Company's preceding written authorization.

Governing Law and Jurisdiction

These Terms fall under the governance of Israeli law. Any controversy shall be subject to the sole jurisdiction of the appropriate courts situated in Tel Aviv. Any legal claim must be initiated within a twelve (12) month period from the occurrence of the relevant event.

Force Majeure

The Company shall not be held accountable for postponements or failures arising from circumstances outside its reasonable control, encompassing natural catastrophes, electrical failures, or governmental interventions.
